Constitution
Chapter I – General Provisions
Article 1
The Council of Taiwanese Chambers of Commerce in Vietnam (hereinafter “Council”) establishes the “Council of Taiwanese Chambers of Commerce in Vietnam Junior Chapter” (hereinafter “Junior Chapter”) to encourage young Taiwanese businesspersons and second‑generation Taiwanese to join the Council and its branches, ensuring continuity and development. Its English name is THE COUNCIL OF TAIWANESE CHAMBERS OF COMMERCE IN VIETNAM JUNIOR CHAPTER.
Article 2
Membership is open to youth either from Taiwan or with at least one parent from Taiwan, who identify with Taiwan and the Junior Chapter’s mission, aiming to connect young or second‑generation Taiwanese businesspeople for career development and to guide them into the Council.
Article 3
The Junior Chapter is subordinate to the Council. Its establishment must follow the Council’s charter, operate under its guidance, and comply with its constitution and purposes.
Article 4 – Missions
Strengthen connections and cooperation among young or second‑generation Taiwanese businesspersons in Vietnam; promote business information and opportunities, and develop international markets.
Cultivate leadership and management in young Taiwanese entrepreneurs to enhance competitiveness.
Encourage Taiwanese youth to join the Council, its branches, and international affiliates, and participate in their activities.
Serve as a bridge between young Taiwanese in Vietnam and Taiwan, maintaining and promoting economic and trade relations.
Emphasize humanity, culture, and human rights, elevating the international reputation of Taiwanese businesses.
Deepen ties with the broader society, gain support for Taiwan, and assist in expanding external relations.
Strengthen organizational sustainability, recruit young Taiwanese businesspeople in Vietnam, and help new members and families integrate quickly into local life.
Article 5 – Duties
Abide by the Council’s charter.
Attend the Council’s annual events.
Submit the Junior Chapter’s annual report on activities and finances to the Council board.
Submit regular membership lists and directories.
Accept guidance and support from the Council.

Chapter II – Membership
Article 7
Membership is open to Taiwanese youth (aged 18–40) with Taiwanese nationality—either personally or via a parent/foster. Members must not hold executive positions in the Council. Those over 40 or holding such positions automatically transfer to a branch chapter under the Council.
Chapter III – Organization
Article 8
The Junior Chapter’s supreme body is the General Assembly of members, composed of representatives appointed by the Council’s branches. Each branch sets its own selection method.
Article 9 – Powers of General Assembly
Propose amendments to these bylaws.
Approve the election/removal of President, Vice‑President, and Chief Supervisor.
Approve plans proposed by the Board of Directors.
Pass motions from the Board.
Pass motions from members.
Decide on dissolution.
Article 10
The Board of Directors consists of 15 members delegated from the 14 branches (if a branch cannot delegate, others may appoint). Term is 2 years, eligible for reappointment.
Article 11 – Powers of Board
Propose bylaws amendments.
Elect/remove the President.
Submit and resolve proposals.
Approve development plans from the President.
Approve the budget.
Formulate executive rules.
Appoint advisors to support the President.
Approve appointments of Secretary‑General, Deputy Secretary‑General, Treasurer.
Decide other important matters.
Qualify members for nomination to positions in the Asia-level Junior Chapters.
Article 12
The Supervisory Committee consists of 5 members elected by member representatives. They elect a Chief Supervisor who convenes committee meetings.
Article 13 – Powers of Supervisory Committee
Oversee implementation of Chapter affairs.
Audit financial matters.
Qualify for nomination to Asia-level Chapter roles.
Article 14
The Chapter has one President and multiple Vice-Presidents. The President manages internal affairs and represents the Chapter externally; Vice‑Presidents assist.
The President is elected by the Board, serves two years, and may be re‑elected once. Vice‑Presidents are appointed by the President, also serving two-year terms.
Article 15
Candidates for President must be current Directors, with at least 2 years in leadership roles such as Director, Supervisor, Vice‑President, Chief Supervisor, or Secretary‑General, and have relevant experience.
Article 16
The Secretary‑General, Treasurer, and Deputy Secretary‑Generals are appointed by the President with Board approval. Their term matches the President’s and is renewable.
Article 17
Supervisors may attend Board meetings, speak, but may not vote.
Article 18
Workgroups may be formed on the President’s proposal with Council approval, except on cross‑strait affairs. Each has a leader (member level or above), appointed with Board approval, term matching President’s, and tasks aligned with bylaws.
Article 19
Each year by mid‑November, branches submit new lists of directors, supervisors, and members to the Secretary’s Office.
Article 20
Terms of all officers run until handover to successors.
Article 21
Elections for the President and Chief Supervisor must occur before the final Council annual meeting, with confirmation and later handover scheduled.
Article 22
Attendance requirements: President, Vice‑President, Chief Supervisor must attend at least twice yearly Council meetings; Board members at least once. Internally, President, Vice‑President, Chief Supervisor must attend 2/3 of Board/Supervisory meetings; others at least half; otherwise they lose eligibility next term.
Article 23
Candidates for Board, Supervisor, Secretary‑General, Treasurer, or committee chairs must complete two required training courses on meeting protocols and chamber operations before eligibility.
Chapter IV – Meetings & Operations
Article 24
The General Assembly meets once yearly during the Council’s annual event. Extraordinary meetings may be called by the President with Council approval.
Article 25
The Board and Supervisory Committee each meet at least once per term, and may call joint meetings quarterly. Supervisors may speak but not vote. Additionally, the President may hold virtual meetings with Council approval; minutes must be formally recorded and submitted.
Article 26
For assemblies, Board/Supervisory meetings, handovers, and major events, the President must formally invite the Council’s President, Vice‑Presidents, Chief Supervisor, and related personnel to attend or oversee.
Article 27
A quorum requires over half membership of the relevant body; motions pass by majority vote.
Article 28
Members unable to attend may not appoint proxies.
Article 29
At least one social/networking event must be held per term (e.g. exchanges, visits, seminars, newsletters), guided by Council’s designated committee.
Chapter V – Finances
Article 30
Annual dues: all members pay 2,000,000 VND. Additional dues if holding office:
President: 20,000,000 VND
Vice‑President: 5,000,000 VND
Chief Supervisor: 5,000,000 VND
Director: 2,000,000 VND
Supervisor: 2,000,000 VND
Article 31
Funds for meetings and activities require a proposal and budget approved by the Council President, then paid from dues.
Article 32
The Chapter may fundraise or accept donations/sponsorships. The Treasurer manages finances, reports at meetings and periodically to the Council board.
Chapter VI – Supplementary Provisions
Article 33
The Board may develop internal regulations to fulfill the bylaws.
Article 34
The Junior Chapter may be dissolved by a vote of the General Assembly (quorum ≥2/3, majority approval) and Council board ratification.
Article 35
If serious breaches of Articles 3–5 occur, the Council board may resolve to dissolve the Chapter. Remaining assets go to the Council after dissolution.
Article 36
Amendments may be proposed by the Council or by ten or more Board/Supervisory members or the Board. They require approval by 2/3 of member representatives present before submission to Council board.
Article 37
These bylaws take effect after Council board approval, and any amendments follow the same process.
