Chapter 1: General Provisions

Article 1: The association is named “Vietnam-Taiwan Chamber of Commerce Federation”, hereinafter referred to as “the association”, the English translation is “THE COUNCIL OF TAIWANESE CHAMBERS OF COMMERCE IN VIETNAM” (CTCVN for short), and the Vietnamese translation is “HIỆP HỘI THƯƠNG MẠI” ĐÀI LOAN TẠI VIỆT NAM” (CTCVN for short). The emblem is as shown in the attached picture.

Article 2: The Association is a non-profit national civil society organization.
Article 3: The association shall be located at the designated office address approved by the member representative meeting.

Chapter 2: Purpose

Article 4: This association promotes contact, mutual assistance, cooperation and experience exchange among Chinese manufacturers investing in the Socialist Republic of Vietnam, seeks joint business development and protection of rights and interests, and strengthens the economy and trade between the business communities of Taiwan and Vietnam. , cultural exchange and cooperation as its purpose.

Chapter 3: Mission

Article 5: Assist members in resolving investment and trade disputes and provide legal consulting services at any time.
Article 6: Compile, collect, make statistics and research the economic policies, industrial and commercial laws and activities of Vietnam and Vietnam, and regularly publish newsletters to provide members with reference.
Article 7: Assist members to engage in networking and exchanges with relevant Vietnamese government agencies and other industrial and commercial groups.
Article 8: Organize various social activities to enhance people-to-people understanding between Taiwan and Vietnam, and promote friendship among all members and their families.

Chapter 4: Membership

Article 9: The Association may establish branches in various provinces, districts or municipalities across Vietnam. The qualifications for establishment are Taiwanese businessmen with more than 30 local members and registered with the China Representative Office in Vietnam or the Office in Ho Chi Minh City. Groups may join as members of the Association after completing the application procedures and being reviewed and approved by the Association’s Member Congress.
Article 10: Members of this association have the right to participate in member representative meetings, elect or be elected.
Article 11: Members of the Association enjoy the rights to various services provided by the Association.
Article 12: Members of the Association have the right to request in writing an explanation of the Association’s affairs and property.
Article 13: Members of the Association may, in accordance with the purpose of the Association, make specific and feasible suggestions to promote the progress and development of the Association.
Article 14: Members of this association have the obligation to abide by the purpose of the association and the resolutions of the general meeting.
Article 15: Members of this association have the obligation to pay various fees in accordance with regulations.
Article 16: Members of the Association shall safeguard the reputation and rights of the Association, and promote unity and cooperation among members in the spirit of mutual help and reciprocity.

Article 17: Appointment of personnel of the General Conference

  • Honorary President: The outgoing president can be appointed as the honorary president of the association, and the president who has just resigned is the honorary president of the association.
  • President: The association has one president, who shall nominate representatives for election through the resolution of each branch’s board of directors and supervisors meeting. Candidates must have served as president of the association and branch president (for more than one term) Those holding positions of vice president, advisory committee or above of the association shall be elected through voting by the association member representatives or above (including supervisors).
  • Vice President: The president of each branch serves as the vice president.
  • Advisory Committee: The outgoing Vice President and Chairman of the General Supervisory Committee serve as the members.
  • Senior Directors: Senior Directors are elected by each branch to serve as Directors and Supervisors of the Federation. Those who have attended the Federation’s Directors and Supervisors Joint Meetings and General Meetings for eight consecutive times or attended ten meetings of the Federation within three years. Those who hold joint meetings of supervisors and general meetings may be appointed as senior directors. The calculation of attendance rate will be traced back to January 2009. The responsibility for nomination shall be determined by the general secretariat according to the sign-in record. Those who meet the qualifications shall be submitted by the president. Appointment shall be made after approval by the joint meeting of supervisors or the general meeting of members.
  • Directors and member representatives: selected from among the executive supervisors and members of each branch. Their number is as shown in the table below.
  • Chairman of the Board of Supervisors: The Board of Supervisors shall set up a Chairman of the Board of Supervisors. After passing the resolution of each branch’s supervisory board meeting, he or she will sign up for election. Candidates must have more than two years of experience as a branch supervisor or be a senior director or above of the Federation. Representatives and above are elected by vote.
  • Supervisors: selected from among the executive supervisors and members of each branch.
  • Secretary-General, Deputy Secretary-General, Treasurer, Deputy Treasurer: The Association shall have one Secretary-General, several Deputy Secretary-Generals, one Treasurer and one Deputy Treasurer, who shall be selected by the President and report to the General Assembly. The same applies to preparing for dismissal.
  • Consultants: The Secretary-General and Treasurer of the Association can be appointed from among the valid members of the Association. When the term of office expires, they can be nominated by the President and appointed as consultants after approval by the Joint Meeting of Managers and Supervisors or the Member Congress.
11. Special consultants: Valid members who have made special contributions to the association may be hired as special consultants.
12. Honorary advisors: Honorary advisors are selected from non-members of the association who have made special contributions.

13. Directors dispatched by Taiwanese schools:

  • The President shall nominate three or more persons and then the Board of Directors shall vote and approve the nomination.
  • Respect the three-year term system of school directors in Taipei. Elections are held every three years and there will be no by-elections in the second and third years.
  • If the director is absent too much or resigns, the next president can propose a new candidate and re-vote to fill up the term.
Article 18: List of rights and obligations of each official of the General Association
  • The president represents the association externally, manages the affairs of the association internally, and is the ex-officio chairman of the member representative meeting.
  • When the president goes abroad on official business or takes leave, the order of acting duties is as follows: the first position is to mentor the honorary president, the second position is the vice president of the branch to which the president belongs, and the third position is other vice presidents. long.
  • When the Chairman of the Board of Supervisors goes abroad on official business or takes leave, the order of his/her duties is as follows. The first in line is the recently retired Chairman of the Board of Supervisors. The second position is for other supervisors.
  • When the President or Chairman of the Board of Supervisors resigns for any reason, if the time is before the end of April, it will be after receiving the official resignation letter. The election committee that originally created the position should operate immediately and announce within one week that it will accept re-election registration. A re-election of the successor will be held at the end of the second week. If the date of resignation is after May 1, the deputy will serve as the President or Chairman of the Board of Supervisors according to the order of agency until December 31.
  • Standing Council meeting; the current President and Vice President are ex-officio members of the Standing Council (those who are unable to attend can entrust a proxy), responsible for handling temporary or urgent proposals. The Chairman of the Board of Supervisors, Secretary-General, and Treasurer may Attend the Standing Council.
  • All staff members of the Federation, except for member representatives, deputy secretary-general and deputy treasurer, may attend the joint meeting of directors and supervisors to vote on various proposals.
  • With the exception of the deputy secretary-general and deputy treasurer, all staff members of the federation may attend the member representative meeting to elect the president and vote on various resolutions.
  • Honorary president, advisory committee members, consultants, and senior directors are appointed positions directly under the federation, and their qualifications must meet the following conditions:
    1. Be a valid member of each club
    2. The annual dues payable to the Federation for the current year must be paid in full. If any of the above conditions are not met, the rights will be suspended (including all voting rights, election rights, and the right to be elected)
    3. There is no limit on the attendance rate of the honorary president, advisory committee members, consultants, and honorary officers, and they will not be counted in the number of people who should be present at the meeting. However, the number of people who should be present and those who have been present should be counted in the attendance.
  • Senior directors are required to attend the general meeting twice or more every year.
  • The honorary president, advisory committee members, consultants and senior directors are appointed positions directly under the federation. Those who are suspended due to the above reasons may apply to the federation council to restore their suspended rights. The key items for recovery are as follows:
    1. Applicants are still valid members of all branches of the Association. The same applies to appointments.
    2. All outstanding membership dues must be paid in full.
    3. There is no attendance limit for honorary presidents, advisory committee members, and consultants. Senior directors need to attend the general meeting twice or more every year.
  • The same representative member may participate in multiple branches but may not hold multiple general office positions.

10. When appointed by the general association and serving as the vice president, director or supervisor of the general association due to the recommendation of the branch, the appointment position shall be retained and the power shall be suspended until the term of the vice president, director or supervisor expires. Exercise appointment duties.

11. After approval by the joint meeting of presidents, managers and supervisors or the general meeting of members, a number of working committees and candidates for chairman may be nominated. Among them, this Articles of Association stipulates that at least the following two committees must be established.

  1. Regulations Committee;
  2. The qualifications of the members must be advisory members or above, and their wishes must be consulted first, and then selected by a number of people recommended by the General Board of Directors and Supervisors at a meeting and voted on.
  3. The term of office is three years and elections are held every three years. If someone resigns and a by-election is held, the term of the by-elected member shall expire at the end of the remaining term.
  4. International Exchange Committee: Responsible for exchange activities with various international friendship associations, including organizing groups to participate in the Asia General Conference and World General Conference as a routine task.
Article 19: The term of office of the President and Chairman of the Board of Supervisors is one year and may be re-elected once. The fiscal year of the Association and the terms of office of the President and Chairman of the Board of Supervisors start and end on January 1st and end on December 31st of the same year.

Chapter 6: Meeting

Article 20: The Association holds a total of four joint meetings of directors and supervisors and member congresses every year, regularly held in March, June, September and December. The number of member congresses is based on the principle of two. The representative meeting shall be held in turn at the location of each branch member and shall be hosted by the branch where the meeting is held. The location and agenda shall be determined by the president and the vice-presidents in coordination. If the president chooses a meeting location other than the location of the branch, it must be approved by the board of directors and supervisors before it can be implemented.
Article 21: With the unanimous consent of the President, Vice President and Chairman of the Board of Supervisors, the Association may convene an extraordinary general meeting of members through coordination when necessary.
Article 22: The Association holds at least two activities each year, such as special seminars, observations, exhibitions, tours, etc., to promote the friendship between the people and members of Taiwan and Vietnam; the type and location of the activities shall be decided by the President and Vice-Presidents. Coordinated by the president.

Chapter 7: Funding

Article 23: Members of this association shall pay annual membership fees: According to the number of members in each branch’s jurisdiction, each branch member shall pay US$50 per year, and the honorary president shall pay US$200 per year. The president shall pay annual membership dues. The payment of US$2,000 is US$1,000 for the chairman of the board of supervisors. The vice president, directors and supervisors are exempt from payment. The US$200 payable annually by the advisory committee members, consultants and senior directors is used as the funds of the association.
The outgoing president must transfer at least an additional VND 200 million, and the new president will announce the transfer amount at the first general meeting after the re-election.
Article 24: The membership dues of this association should be paid before March 31 of each year, and the membership dues for appointment positions can be collected by the branch to confirm the valid membership. Failure to pay by the due date shall result in suspension.
Article 25: When the funds of the Association are insufficient, with the coordination and approval of the President, Vice President and Chief Supervisor, the Association may apply for subsidies from relevant agencies or solicit donations from members.
Article 26: The income and expenditure accounts of the Association shall be reviewed by the Chief Supervisor at any time, and the Treasurer shall submit a report at each Member Congress for review by member representatives.

Chapter 8: Election

Article 27: The Association establishes an Election Committee at its June meeting each year, with one Honorary President serving as the Chairman, four advisory members and senior directors serving as members, and two external members selected from government agencies. The Committee Members are nominated by the president and serve after approval by the general meeting.

Article 28: After the election committee is established, it will immediately announce the registration to participate in the election and complete the election before the end of September. And complete the handover of the new and old presidents and chief supervisors before the end of December

  • Candidates must be recommended and nominated by their respective branch councils.
  • Candidates who are not the person in charge or general manager of the company must submit a recommendation letter from the company.
  • Candidates need to attach a copy of their ROC passport or ID card and a copy of their Vietnamese residence permit or work permit.
  • Electors may not vote with a power of attorney
  • The list of electors shall be determined by the general director and supervisor approved by the board of directors of each branch, and the list of member representatives shall be implemented in accordance with the provisions of the articles of association.

Article 29: Candidates for the President and Chairman of the Board of Supervisors must register for the election, and the registration qualifications must meet the provisions of Article 17, Item 2 and Item 7 of the Articles of Association.

Chapter 9: Supplementary Provisions

Article 30: In order to facilitate the implementation of the association’s affairs, the association may formulate various implementation details in accordance with the purpose of the charter, and they will be implemented after approval by the association’s representative meeting.
Article 30: The Articles of Association of the Association shall be implemented after being passed by the Member Representative Conference. The amendment must be attended by more than half of the Member Representative Conference, and approved by more than one-half of the representatives present. It shall be submitted to our country’s guidance agency for filing and then implemented.
Article 32: The Association does not support specific political parties, and its interaction with political parties only focuses on welcoming and welcoming people.
